Terms of Service.

1. Acceptance

By using businessdesignpr.com, submitting an inquiry, or engaging us under a written agreement, you accept these Terms. If you don't agree, don't use the site or our services.

2. Who we are

Business Design LLC — a brand and systems firm operating in Puerto Rico, USA. Founder: Rubén Cepeda. Contact: ruben@businessdesignpr.com.

3. What the site is, and isn't

This site presents our methodology, public engagements, pricing options, and contact channels. It is not a binding offer. An engagement only exists once we have a signed written agreement (the “Engagement Letter”).

4. Engagements

• Each engagement is governed by its own Engagement Letter, which specifies scope, deliverables, schedule, and fees.
• The Engagement Letter prevails over these Terms in case of conflict.
• Standard retainer is $2,000/month. The six-month Program (see /programa) is a staggered new-client adjustment.
• Post-Program continuation tiers (Base, Pro, Retainer Full) are subscription products billed monthly. Pricing on the pricing page; subscription Terms apply.

5. Payment

• Invoices are due on receipt unless the Engagement Letter says otherwise.
• Late payments accrue 1.5% per month or the highest rate permitted by Puerto Rico law, whichever is lower.
• We may pause work on overdue accounts. Resumption is subject to bringing the account current.
• Fees paid for delivered work are non-refundable. Cancellation of forward-scheduled work follows the Engagement Letter.

6. Ownership and license

• Your inputs: brand assets, copy, data you provide remain yours.
• Our deliverables: on full payment of the relevant phase, you receive a perpetual, non-transferable license to use the deliverables for your business. We retain the right to display the work in our portfolio and to use anonymized learnings to improve our methodology.
• Our tools and frameworks: the Business Design Arc, the Six Phases, our internal templates, scripts, and software (including ok200leads and supporting automations) remain our property. You receive the deliverables they produce, not the tools themselves.
• Third-party assets: fonts, stock imagery, plugins, and similar are licensed in your name where required; license costs are passed through.

7. Content automation services

For clients who engage us to operate their social presence (publishing to Instagram, Facebook, LinkedIn on their behalf):

• You grant us the access tokens necessary to post on your behalf. You may revoke them at any time.
• You remain responsible for the content posted. Our quality gate filters egregious cases (safety, brand-tone mismatch) before publication, but it is not a substitute for your editorial oversight.
• You can request takedown of any published post; we will action within one business day.
• Account suspensions or platform penalties (e.g., a Meta-imposed ban) are not our liability except where caused by our gross negligence.

8. Confidentiality

Information marked confidential or that a reasonable person would treat as confidential will be kept confidential by both parties during and after the engagement, with standard exceptions (already public, legally required disclosure, etc.). NDAs are signed on request.

9. Warranties and disclaimer

We deliver our work to a professional standard. Beyond that, the site and our services are provided as-is. No outcome, revenue, ranking, or audience growth is guaranteed. Our methodology improves the probability of those outcomes; it does not assure them.

10. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of this site or an engagement is limited to the fees paid by you to Business Design in the six months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

11. Indemnity

You agree to indemnify Business Design against third-party claims arising from your use of our deliverables in a way not authorized by these Terms or the Engagement Letter, your breach of these Terms, or your violation of applicable law.

12. Termination

Either party may terminate an engagement for material breach not cured within 15 days of written notice. Upon termination: outstanding fees for delivered work are due; access tokens granted to us are revoked by you; we return or delete your data per our privacy policy.

13. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Puerto Rico and applicable US federal law. Disputes will be resolved in the courts of San Juan, Puerto Rico, unless the parties agree to arbitration.

14. Changes

We may update these Terms. The “Effective” date at the top reflects the most recent version. Continued use of the site after a change is acceptance of the change. Material changes affecting an active engagement are negotiated in writing.
